Our clients include German and foreign businesses, institutions from
various sectors, for example insurance, public law contractors, real
estate agents and real estate development firms, energy enterprises,
associations of professional and amateur athletes and sportsmen and
institutional investors.
While these clients are involved in diverse
activities, they tend to run into the same types of legal difficulties.
These touch on company law, banking law, civil and contract law,
commercial law, civil procedure law, public law and, unfortunately,
also insolvency law.
Company law
Beginning with the formation of a private limited company, general
partnership, limited partnership, non-trading partnership or an
association (Verein) in Germany, we draft the relevant contracts or
check them over. We amend agreements or change the way, in which
businesses are set up (mergers, splitting, outsourcing).
We oversee Joint Ventures on the German and the Czech side. Dr. David
Kouba is a German lawyer who specialises in Czech law. Because of his
international qualifications in the Czech Republic, he is also able to
appear before court there.
Banking law
Within the area of banking law, we deal with banks, their clients and
investors. We are used to viewing banking law problems from both sides.
In the case of project finance, we draft contracts that are suited to
all conceivable means of finance.
Civil and contract law, commercial law, civil procedure
In civil law, we deal with sale of goods, factoring law, lease and
franchise law and other types of contract law. There may, of course, at
times be overlaps with labour law, private construction law, commercial
and residential leases and real estate law.
When commercial business transactions are involved, the commercial law
code (Handelsgesetzbuch) contains special rules which differ from those
of general contract law. We are specialists in commercial law as a
whole – from the law of agency to that of transport.
All senior members of our firm have years of court and civil procedure
experience. Some of our clients regard us as a litigation firm. For
this reason, we are employed to represent clients who have been advised
by other firms. We also represent other law firms before court.

Insolvency law
We advise businesses in crisis and help to decide at which point
insolvency is the only remaining option. We represent and support
creditors who wish to realise their credit against an insolvent debtor. |
